1. Definitions
In these terms:
“NREW” / “Licensor” means the owner and operator of the NREW catalogue and related rights.
“Licensee” means the individual, sole trader, company, organisation, venue, or brand that purchases the licence.
“Music” means the musical works, recordings, edits, bundles, stems, files, playlists, or download packs made available by NREW under the relevant licence.
“Licensed Use” means the specific use permitted under the licence purchased.
“Location” means a single physical trading premises unless otherwise stated.
“Channel” means one named digital channel, account, podcast, YouTube channel, creator brand, production brand, or business entity unless otherwise stated.
“Membership Term” means the monthly or annual period purchased by the Licensee.
“Active Subscription” means a paid, current, non-suspended licence term.
“Bundle” means a named pack, collection, category, or series of music files supplied by NREW.
“Series Licence” means a licence tied to one named catalogue family, such as Horizon, Dayform, or Lowlights.
“Sector Licence” means a licence tied to a type of business use, such as Gym, Retail, or Creator.
2. Acceptance
By purchasing, downloading, accessing, or using any NREW music, the Licensee agrees to these licence terms in full.
3. Ownership
All music, recordings, files, edits, metadata, artwork, branding, and related rights remain the property of NREW.
The Licensee is purchasing a limited, non-exclusive, non-transferable, revocable licence to use the music only within the scope of the purchased licence.
No copyright is transferred.
4. General licence rules applying to all NREW licences
Unless a specific licence expressly states otherwise, all NREW licences are subject to the following conditions:
4.1 Licence scope
The licence is granted only to the named Licensee (individual or business) at the point of purchase.
The licence:
- is non-exclusive
- is non-transferable
- is non-sublicensable
- is revocable in the event of breach
The licence permits use only within the specific Licensed Use, Location, or Channel defined by the licence purchased.
4.2 Ownership and rights
All music, recordings, files, edits, stems, arrangements, metadata, artwork, branding, and associated intellectual property remain the sole property of NREW.
The Licensee does not acquire any ownership rights and may not:
- claim authorship or ownership
- register the music in any rights system
- represent the music as their own
4.3 File access and usage
Access to downloads and member areas is strictly limited to the Licensee.
The Licensee may:
- download and store the files for their own licensed use
- maintain one primary playback system and one backup storage location (unless otherwise stated)
The Licensee may not:
- share login access
- distribute files internally beyond the licensed scope
- provide files to staff, freelancers, contractors, agencies, or third parties for independent use
- host files on shared drives accessible by unauthorised users
4.4 Prohibited distribution and resale
The Licensee must not:
- resell, sublicense, rent, lease, lend, or distribute the music
- upload files to stock music libraries, sync platforms, or marketplaces
- include the music in any competing music product, subscription, or library
- provide the files as part of any product, template, toolkit, or downloadable asset
4.5 Platform and system restrictions
The Licensee must not:
- upload the music to streaming platforms such as Spotify, Apple Music, Amazon Music, or similar
- register the music with Content ID systems (including YouTube Content ID)
- submit the music to fingerprinting, rights management, or copyright enforcement systems
- assert copyright ownership or issue claims against third parties
4.6 Acceptable use
The music must not be used in any context that is:
- illegal
- defamatory
- hateful or discriminatory
- extremist or political propaganda
- pornographic or sexually explicit
- misleading or deceptive
NREW reserves the right to determine whether usage breaches this clause.
4.7 Licence boundaries
Each licence applies only to:
- one Location (for physical licences), or
- one Channel or brand (for Creator licences)
Unless expressly stated:
- licences do not extend to multiple sites
- licences do not cover franchise networks
- licences do not apply to parent, sister, or subsidiary companies
- licences do not cover agency or client use
Separate licences must be purchased for each additional use.
4.8 Subscription dependency
Unless explicitly stated otherwise:
- the licence is valid only during an Active Subscription
- access to downloads ends when the subscription ends
- continued use after expiry is not permitted except where specifically allowed (e.g. Creator perpetual project clause)
4.9 Security and access control
The Licensee is responsible for:
- maintaining secure login credentials
- preventing unauthorised access to downloads
- ensuring compliance within their organisation
NREW may:
- monitor usage patterns
- restrict or suspend access where misuse is suspected
- enforce reasonable access controls
4.10 Updates and catalogue changes
NREW may:
- update, replace, remove, or reorganise files
- change file formats, naming, or packaging
- modify delivery systems or member areas
These changes will not reduce the core rights granted during an active licence period.
4.11 Enforcement
If NREW reasonably believes that:
- the licence is being misused
- files are being shared or redistributed
- usage exceeds the licence scope
NREW may:
- suspend access immediately
- request clarification or evidence of use
- terminate the licence if the breach is not resolved
4.12 Survival of restrictions
All restrictions relating to:
- ownership
- redistribution
- copyright claims
- prohibited use
continue to apply even after the licence has expired or been terminated.
4A. Multi-Licence Discount Structure
Where offered by NREW, the following pricing structure applies:
- The first two (2) active licences on a single account must be held at the full standard price
- Any third and subsequent licences may be charged at 50% of the standard licence price
Eligibility
To qualify for discounted licences:
- All licences must be held under the same Licensee account
- At least one full-priced licence must remain active at all times
Loss of discount
If one or more full-priced licences are cancelled, suspended, refunded, or expire:
- all discounted licences will automatically revert to the standard price at the next billing cycle
Anti-abuse protection
NREW may remove or refuse discounts where:
- licences are cancelled and re-added to manipulate pricing
- duplicate accounts are used to bypass pricing rules
- usage structure does not reflect genuine commercial use
Scope
This applies across:
- Gym
- Retail
- Creator
- Horizon
- Dayform
- Lowlights
5. Fees, renewal, cancellation, and access
5.1 Subscription basis
All NREW licences are provided on a subscription basis, billed either:
- monthly; or
- annually,
as selected by the Licensee at the point of purchase.
Each licence is a separate subscription, even where multiple licences are held under the same account.
5.2 Payment and activation
Access to the licence and associated downloads is granted only when:
- payment has been successfully processed; and
- the subscription is active and in good standing.
NREW reserves the right to:
- refuse or delay access where payment is incomplete or flagged;
- suspend access in cases of failed or disputed payments.
5.3 Automatic renewal
All subscriptions renew automatically at the end of each billing period unless cancelled before the next billing date.
By purchasing a licence, the Licensee authorises NREW to:
- charge the selected payment method on a recurring basis;
- continue billing until the subscription is cancelled.
5.4 Cancellation
The Licensee may cancel their subscription at any time via their account area.
Cancellation:
- stops future billing;
- does not trigger a refund for the current billing period;
- remains active until the end of the current paid term.
No partial refunds are provided for:
- unused time;
- failure to download files;
- change of mind after access has been granted.
5.5 Expiry and loss of access
When a subscription expires or is cancelled:
- access to member areas and downloads is removed immediately at the end of the billing period;
- the Licensee must stop any ongoing use of the music unless explicitly permitted under the licence type (e.g. previously published Creator projects).
Where no such permission exists:
- all playback, use, and deployment of the music must cease;
- locally stored files must be removed from active systems.
5.6 Continued use after expiry
Continued use of NREW music after subscription expiry is permitted only where explicitly stated in the relevant licence (e.g. Creator Licence perpetual project usage).
In all other cases:
- continued use without an active subscription constitutes unauthorised use and a breach of these terms.
5.7 Multi-Licence billing and pricing
Where a Licensee holds multiple licences:
- each licence is billed individually;
- pricing may vary depending on eligibility for any multi-licence discount structure.
Discounted licences:
- are conditional on maintaining at least two qualifying full-priced licence;
- may revert to the standard price at the next billing cycle if eligibility conditions are not met.
NREW does not guarantee the continued availability of discounted pricing where:
- licence counts change;
- qualifying licences are cancelled;
- account structure changes.
5.8 Failed payments
If a payment fails:
- NREW may retry payment automatically;
- access may be temporarily restricted until payment is resolved.
If payment remains unresolved:
- the subscription may be suspended or cancelled;
- access to all associated content may be removed.
5.9 Chargebacks and disputes
If a chargeback or payment dispute is raised:
- NREW may immediately suspend all associated licences;
- access to downloads and member areas may be revoked.
Where a chargeback is found to be unjustified:
- NREW reserves the right to terminate the licence permanently;
- the Licensee may be restricted from future purchases.
5.10 Pricing changes
NREW reserves the right to change pricing for future billing periods.
Where pricing changes apply:
- reasonable notice will be provided;
- updated pricing will apply from the next renewal date.
Existing billing periods are not affected.
5.11 Access and service availability
NREW will make reasonable efforts to ensure access to:
- member areas;
- downloads;
- account systems.
However, NREW does not guarantee uninterrupted availability and shall not be liable for:
- temporary outages;
- system updates;
- third-party service interruptions (including payment providers or hosting platforms).
5.12 Account responsibility
The Licensee is responsible for:
- maintaining accurate billing details;
- ensuring payment methods remain valid;
- managing their subscription status.
Failure to maintain valid payment details may result in:
loss of access.

6. Audit and proof of licence
The Licensee must keep reasonable records demonstrating how and where the music is being used.
NREW may request confirmation of:
- business name
- website URL or channel used
- venue address
- project links
- number of locations
- number of accounts or brands
- current subscription status
The Licensee must provide reasonable confirmation within 14 days of the request.
Failure to provide such information may result in:
- temporary suspension of access;
- restriction of downloads;
- further investigation into licence compliance.
7. Breach
If the Licensee breaches any part of these terms:
- the licence may be suspended or terminated immediately without notice.
On termination, the Licensee must:
- cease all unlicensed use immediately;
- remove all music from active systems;
- delete any files being used outside the permitted scope;
- remove any unauthorised distribution or uploads.
NREW reserves the right to take further action where necessary to protect its rights.
8. Liability
To the fullest extent permitted by law:
- NREW’s total liability shall not exceed the total amount paid by the Licensee in the 12 months preceding the claim.
NREW shall not be liable for:
- indirect or consequential loss;
- loss of profit, revenue, or business opportunity;
- business interruption;
- platform decisions made by third parties (e.g. YouTube, social media platforms, hosting providers).
Nothing in these terms excludes liability where it cannot legally be excluded.
9. Governing law
These terms are governed by the laws of England and Wales.
Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
